1. Parties and Effective Date
This Cleaning Service Agreement (the "Agreement") is entered into as of Effective Date (the "Effective Date") by and between Provider Business Name ("Provider") and Client Name ("Client"). Services will be performed at Service Address.
2. Scope of Services
Provider will furnish the cleaning services described in this Section 2 (the "Services"). The Services are limited to the rooms, surfaces, and tasks listed below. Any work outside this scope is treated as additional services under Section 7.
2.1 Tasks Performed Each Visit
- Dust accessible surfaces, including counters, shelves, and furniture tops
- Vacuum carpets, rugs, and upholstered furniture
- Sweep and mop hard floors
- Clean and sanitize bathroom fixtures
- Wipe down kitchen counters, exterior of appliances, and stovetop
- Empty interior trash receptacles and replace liners
- Make beds with linens left in place
- Spot-clean interior glass and mirrors
2.2 Tasks Excluded
- Interior of refrigerators, ovens, or freezers
- Window cleaning beyond interior spot-cleaning
- Wall washing and high-dusting
- Carpet shampooing or steam cleaning
- Laundry and dishwashing
- Biohazards, mold, or animal waste
- Moving heavy furniture or appliances
- Outdoor surfaces, garages, attics, and unfinished spaces
3. Schedule and Frequency
Cleaning will occur Cleaning Frequency on Day of Week between Arrival Window. Client may reschedule a visit with at least 48 hours' notice. Requests with less than 48 hours' notice are treated as cancellations under Section 12.
4. Pricing and Payment Terms
Client agrees to pay Provider $Service Rate ($) Rate Period for the Services. Provider will invoice Billing Schedule. Payment is due Payment Terms. Invoices unpaid more than 10 days past due accrue a late fee of Late Fee % per month% per month or the maximum permitted by law, whichever is lower.
Provider may adjust pricing once per calendar year on at least 30 days' written notice. Client may terminate this Agreement under Section 11 if the new rate is not acceptable.
5. Supplies and Equipment
Provider will furnish all standard cleaning supplies and equipment unless the parties agree otherwise in writing. Client will notify Provider in writing of allergies, sensitivities, or surface-care requirements (sealed stone, hardwood, specialty finishes) before the first scheduled visit.
6. Access to Premises
Client will provide Provider reliable access during the scheduled arrival window. Provider will safeguard all keys, codes, and alarm credentials. If Provider cannot access the premises within 30 minutes of arrival, the visit is treated as a same-day cancellation under Section 12.
7. Add-On Services
Any work outside Section 2 (oven interior, refrigerator interior, move-in or move-out cleans, post-construction cleans, deep-clean services) is an "Add-On Service." Provider will provide a written estimate before performing any Add-On Service; Client's written or electronic approval of the estimate authorizes the work and the additional charge.
8. Pets, Children, and Personal Belongings
Client will disclose any pets and secure pets that are aggressive, anxious, or that interfere with cleaning. Small children will be supervised by an adult other than Provider's personnel. Client agrees to put away items of high monetary or sentimental value, including cash, jewelry, collectibles, firearms, and confidential documents.
9. Damages and Liability
If Provider damages property during a visit, Provider will notify Client within 24 hours. Client must report any damage Client believes was caused by Provider within 48 hours of the visit; claims made later are waived. Provider's sole liability for damage caused by Provider's negligence is, at Provider's option, repair, replacement with like kind and value, or credit against future Services. Provider's aggregate liability in any 12-month period is limited to the total amount paid by Client to Provider during that period. Provider maintains general liability insurance of at least $Insurance ($/occurrence) per occurrence.
10. Photography and Marketing Consent (Optional)
Client may grant or decline permission for Provider to take and use non-identifying before-and-after photographs for marketing purposes. No photographs of people, identifying documents, or items of a private nature will be used. This section is optional and does not affect any other right or obligation under this Agreement.
11. Term and Termination
This Agreement begins on the Effective Date and continues for an initial term of Initial Term (months) months, after which it automatically renews on a month-to-month basis. Either party may terminate for convenience on at least 14 days' written notice. Either party may terminate immediately for material breach that is not cured within 7 days of written notice.
12. Cancellation Fees and No-Shows
- Cancellation with 48+ hours' notice: no fee.
- Cancellation with less than 48 hours' notice: Cancellation Fee %% of the visit rate.
- Same-day cancellation, lockout, or no-access visit under Section 6: full visit rate.
13. Independent Contractor
Provider is an independent contractor, not an employee, agent, partner, or joint venturer of Client. Provider controls the means and methods of performing the Services and is responsible for the conduct, training, and compensation of Provider's personnel.
14. Confidentiality
Provider and Provider's personnel will keep confidential all non-public information observed at the service address, including the layout of the premises, security codes, household routines, and personal information. This obligation continues for 2 years after termination of this Agreement.
15. Indemnification
Each party will indemnify, defend, and hold harmless the other party from any third-party claim, loss, or expense (including reasonable attorneys' fees) arising out of the indemnifying party's gross negligence, willful misconduct, or material breach of this Agreement. This obligation survives termination for 12 months.
16. Governing Law and Venue
This Agreement is governed by the laws of the State of Governing State, without regard to its conflict-of-laws principles. Any unresolved dispute will be brought in the state or federal courts located in Venue County, Governing State, and the parties consent to the exclusive jurisdiction of those courts.
17. General Provisions
This Agreement is the entire agreement between the parties regarding its subject matter. No amendment is binding unless in writing and signed by both parties. If any provision is held invalid, the remaining provisions remain in full force. This Agreement may be signed in counterparts and by electronic signature.
